مقررات حاکم بر ادغام بنگاهها در حقوق رقابت کرهجنوبی (با تأکید بر سیاست حمایت از شکلگیری بنگاههای بزرگ)
ادغام میان بنگاهها از شیوههای شایع افزایش اندازه شرکتها، توسعه فعالیتها، انجام انواع صرفهجوییها و کاهش هزینهها، ارتقای کارایی و همافزایی میان بنگاهها محسوب میشود. به همین دلیل، کشورهای در حال توسعه به منظور افزایش اندازه بنگاههای داخلی خود و ارتقای توان رقابتی آنها در مواجهه با بنگاههای بزرگ کشورهای توسعهیافته بعضاً دست به تدوین برنامههایی جهت تشویق ادغامها میزنند. با اینحال، گاه ادغامها در مسیر حذف بنگاههای رقیب، محو رقابت و در نهایت ایجاد انحصار در بازار داخلی گام برمیدارند که به نوبه خود، علاوه بر هدر دادن منابع و افزایش هزینههای اجتماعی به افزایش قیمت و اجحاف در حق مصثرفکنندگان منتهی میشود. به همین دلیل، ادغامها بهلحاظ آثار قابل توجهی که بر ساختار و عملکرد بازار دارند از جمله موضوعات مهمی هستند که بجز در حقوق شرکتها در محدوده حقوق رقابت نیز از آنها سخن به میان آمده و به دقت تحت نظارت مقامات رقابتی کشورها قرار دارند. از آنجا که ادغامها گاه ممکن است با تجمیع بنگاههای کوچک در یکدیگر موجب تقویت رقابت و گاه باعث از بین رفتن آن شوند کشورهای در حال توسعه باید با تعیین اولویتها و تدوین دقیق سیاستهای اقتصادی و بازرگانی بالادستی خود با در نظر گرفتن همه جوانب مرزهای ادغامهای ممنوع و ضدرقابتی را ترسیم کنند. در تدوین سیاست کنترل ادغامی مزبور نیز مشخصاً به این سوال مهم پاسخ روشن دهند که در راستای سیاست قهرمانپروری ملی و افرایش اندازه بنگاههای داخلی تا چه حد و تا چه مدت تغییر در ساختار بازارهای خود به سمت تمرکز و انحصار را تاب میآورند. این پژوهش بنا دارد تا ابعاد حقوقی ادغام میان بنگاهها را از منظر حقوق رقابت کره جنوبی مورد مداقه قرار دهد. کرهجنوبی در زمره کشورهای در حال توسعهای قرار دارد که با وجود فقر منابع طبیعی و در حالی که تا اواسط قرن گذشته یکی از کشورهای فقیر آسیا بهشمار میآمد توانسته است ظرف نیم قرن گذشته توسعه اقتصادی چشمگیری را تجربه کند و اکنون رتبه دوازدهم بزرگترین اقتصادهای جهان را به خود اختصاص دهد. در مطالعه صورت گرفته روشن خواهد شد که برنامهریزان اقتصادی این کشور برای رسیدن به این جایگاه، ازجمله سیاستهای مقطعی که در پیش گرفتند حمایت از تجمیع بنگاههای کوچک و متوسط و تشکیل شرکتهای بزرگ بهمنظور افزایش توان رقابت آنها در بازارهای بینالمللی هدف بود. به همین دلیل نیز ادغامهایی که در این راستا صورت میپذیرفتند را تشویق نمودند. حتی در صورت ضدرقابتی بودن آنها برای بازارهای داخلی این ترکیبات بازرگانی را از حکم ممنوعیت معاف دانستند. اجرای صحیح این سیاست در کنار سایر برنامهریزیهای اقتصادی حدفاصل سالهای 1980 تا 1999 موجب پدید آمدن بنگاههای بزرگ بینالمللی در این کشور گردید که قادر بودند تولیدات خود را به اقصی نقاط جهان ازجمله کشورهای توسعه یافته صادر کنند. با حصول درآمدهای ناشی از این صادرات گسترده، تولید ناخالص ملی کره ظرف یک دهه دو برابر گردید. پس از رسیدن به چنین جایگاهی و کم شدن فاصله اقتصادی میان این کشور کوچک آسیای شرقی و کشورهای توسعه یافته در آستانه آغاز هزاره جدید بهمنظور جذب بیشتر سرمایهگذاری خارجی و تشدید رقابت در بازارهای داخلی حمایت از شکلگیری شرکتهای بزرگ تا حد زیادی متوقف و ضمن حذف معافیت صدرالذکر، مقررات حقوق رقابت کره هرچه بیشتر با کشورهای توسعه یافته هماهنگ شد. از همینرو، مطالعه تجربه موفق کشور مذکور میتواند درسهای آموزندهای را برای برنامهریزان و سیاستگذاران اقتصادی کشورمان که برنامه مشخصی را در تدوین مقررات ادغام شرکتهای ایرانی دنبال نکردهاند، به همراه داشته باشد.

تبعات موافقتنامه تجارت آزاد دو سویه اقیانوس اطلس بر صادرات ایران به اتحادیه اروپا
اتحادیه اروپا و ایالات متحده آمریکا در دو سوی آتلانتیک در تلاش هستند که با برقراری موافقتنامه تجارت آزاد مشکلات روابط تجاری فیمابین را حل کنند و بتوانند بر بسیاری از مشکلات اقتصادی و مالی(به ویژه کاهش نرخ بیکاری با ایجاد فرصتهای شغلی جدید) فائق آیند.
بدون شک برقراری این موافقتنامه بر روابط تجاری این کشورها بر سایر کشورهای جهان تاثیر گذاشته، تجارت این کشورها با بقیه جهان را کاهش داده و به سوی کشورهای داخل موافقتنامه منحرف خواهدکرد. ایران نیز به عنوان یکی از شرکای تجاری کشورهای اروپایی از برقراری این موافقتنامه تاثیر خواهد پذیرفت. این مقاله به دنبال شناسایی این تاثیر بوده است.
نتایج این مطالعه تصور عدم تاثیر موافقتنامه در دست بررسی تجارت آزاد بین اتحادیه اروپا و ایالات متحده امریکا بر صادرات ایران را رد مینماید. در این مطالعه علاوه بر بررسی آثار موافقتنامه مذکور بر واردات اتحادیه اروپا از ایران، آندسته از کدهای کالایی صادراتی ایران (در سطح شش رقمیHS) که در معرض تهدید موافقتنامه مذکور قرار دارند، شناسایی و معرفی شدهاند. شبیهسازی این مطالعه در مورد آثار موافقتنامه مذکور پیشبینی نموده است که صادرات تعداد 781 کد کالایی (63 درصد از کل کالاها) با ارزش صادراتی معادل 672 میلیون دلار (8/9درصد کل ارزش صادراتی این کالاها) مورد تهدید موافقتنامه مذکور میباشد. البته مطابق پیشبینیها، رقم انحراف تجارت در واردات اتحادیه اروپا به زیان ایران، 4/2 میلیون دلار برآورد شده است. اگرچه این رقم، چندان چشمگیر و نگرانکننده بهنظر نمیرسد اما بایستی توجه نمود که این نتیجه در قالب یک مدل ایستا و تنها مربوط به اثر تغییر قیمتهای نسبی کالاهای وارداتی اتحادیه اروپا از شرکای تجاری (بهدلیل حذف تعرفهها در قالب موافقتنامه از سوی طرفین) حاصل شده و آثار پویای اقدامات تسهیلکننده تجاری طرفین موافقتنامه بر صادرات ایران بسیار وسیعتر از این رقم به نظر میرسد.

تأثیر بازاریابی سبز بر قصد خرید مشتریان با نقش واسطهای مسئولیت اجتماعی شرکت و تصویر محصول
با افزایش آگاهی و دانش مشتریان در ارتباط با اهمیت رفاه اجتماعی، محیطزیست به دغدغهای جدی برای مردم تبدیل شده است. اهمیت مسائل محیطزیست، افزایش مقررات عمومی، رقابت وسیع سازمانها و فشار افکار عمومی باعث شده است که سازمانها علاوه بر سودآوری و فروش بیشتر به محیطزیست و سلامت مصرفکنندگان هم توجه کنند. امروزه سازمانهایی میتوانند به اهداف خود دست یابند که به وظایف اجتماعی خود نیز توجه کنند. به دلیل اهمیت این مفهوم، این مقاله به بررسی تأثیر بازاریابی سبز بر قصد خرید مصرفکنندگان با نقش واسطهای مسئولیت اجتماعی و تصویر محصول پرداخته است. تعداد ٣٨٤ پرسشنامه میان مصرفکنندگان توزیع و جمعآوری شد و دادهها با استفاده از نرمافزار لیزرل مورد تجزیهوتحلیل قرار گرفته است. نتایج حاکی از آن است که همهی فرضیهها به جز تأثیر مستقیم بازاریابی سبز بر قصد خرید مصرفکنندگان مورد تأیید است. بنابراین، بازاریابی سبز از طریق اثرگذاری بر مسئولیت اجتماعی و تصویر محصول میتواند بر قصد خرید اثرگذار باشد و مستقیماً بر آن تأثیر ندارد.

تبیین راهکارهای عملیاتی توانمندسازی نیروی انسانی شرکتهای پخش در ایران
مقاله حاضر با هدف تببین راهکارهای عملیاتی توانمندسازی نیروی انسانی در شرکتهای پخش در ایران تدوین شده است. نتایج مطالعه حاضر نشان داد که پایین بودن سهم هزینههای آموزش و تحقیق و توسعه در شرکتهای پخش، سهم پایین شاغلان دارای آموزش حرفهای، سهم پایین کارکنان استفادهکننده از رایانه، متوسط سهم پرداخت الکترونیکی از کل مبادلات بازرگانی شرکتهای پخش دارای تجارت الکترونیکی و سهم پایین شرکتهای استفادهکننده از دستگاههای بارکدخوان از عمدهترین مشکلات نیروی انسانی در این شرکتها به شمار میرود. به این روی راهکارهای توانمندسازی نیروی انسانی را میتوان به صورت ارتقای سطح تعامل سازمانی و حرفهای (بخشیدن شأن حرفهای به آنان در سطح درون سازمانی و برون سازمانی)؛ آموزش و تامین تدارکات لازم در حد برنامهریزی و هماهنگی برای آنها (اهمیت سرمایه انسانی در مقابل نیروی کار)؛ پیشبینی مشوقهای ارتقای خلاقیت؛ تجهیز شرکتهای پخش به قوانین، دستورالعملها و اطلاعات موردنیاز شغلی از طریق الزام انجمن به ارائه خدمات اطلاعاتی و فنی موردنیاز به گروههای ذی نفع (واحدها) برشمرد. اما با توجه به اهمیت تامین مالی در شروع هر فعالیت ضروری است که سازوکارهایی جهت تامین مالی شرکتهای پخش پیشبینی شود.

مطالعه امکانسنجی طرح احداث نیروگاه مقیاس کوچک به ظرفیت 25 مگاوات
هدف اصلی از اجرای این تحقیق، ارزیابی تولید 25 مگاوات در ساعت برق و تحویل به شبکه برق سراسری در قالب قرار داد تبدیل انرژی با وزارت نیرو در پست فوق توزیع یکی از شهرهای شمالی ایران میباشد. طی قرارداد وزارت نیرو، گاز به واحد نیروگاهی داده شده و در ازای آن انرژی الکتریکی تحویل گرفته میشود علاوه بر این ضمن بررسی نقاط ضعف در ساختار فعلی صنعت برق ایران، راه کارهای اصلاحات ساختاری و تجدید ساختار در بخش برق را مورد بررسی و تجزیه و تحلیل قرار میدهد. نتایج تحقیق بیانگر آن میباشد که با توجه به تنگناهای موجود در صنعت برق ایران، (از جمله کاهش راندمان نیروگاههای کشور، عدم حضور فعال بخش غیر دولتی در بخش برق جهت افزایش رقابت، عدم تناسب برخی شاخصهای اقتصادی برق با استانداردهای جهانی، استفاده از منابع مربوط به صنایع برق دولتی در جهت مقاصد سیاسی و...) تجدید ساختار در صنعت برق کشور امری اجتناب ناپذیر قلمداد میشود. گواه این مطلب آنکه اقدامات اولیه صورت گرفته در سالهای اخیر جهت حرکت به سمت بازار رقابتی باعث بهبود نسبی برخی از ضعفهای ایجاد شده گردیده است. در همین راستا و به لحاظ کمبود منابع عمومی دولت و منابع داخلی شرکتهای برق جهت سرمایهگذاری و نیز تا حدی به دلیل وجود نظریه غالب برتر سازوکار بازار بر سازوکار برنامهریزی متمرکز، مشارکت بخش غیر دولتی در صنعت برق ایران ضروری است.

تاثیر گرایش به کارآفرینی بر برندینگ محصولات صنعتی و رشد کسب و کار در بازارهای نوظهور
این مقاله به بررسی رابطه بین گرایش به کارآفرینی و گرایش به برند در شرکتهای کوچک و متوسط فعال در بازارهای بازارهای صنعتی وسهم و نقش هر یک از این دو عامل در رشد کسب و کار در بازارهای نوظهور میپردازد. نویسندگان در این تحقیق یک مدل ساختاری با استفاده از دادههای جمع آوری شده از کشور مجارستان طراحی و به صورت تجربی مورد بررسی قرار دادند. مجارستان کشوری است که در طول دو دهه گذشته و از زمان سقوط دیوار آهنین دستخوش تحولات سیاسی و اقتصادی فراوانی بوده است. نتایج حاکی از آن است که گرایش به کارآفرینی دارای اثر مثبتی بر رشد کسب و کار در بازارهای نوظهور است، در حالی که گرایش به برند دارای اثر منفی میباشد. علاوه بر این، تحقیق حاضر به دنبال آن است تا مشخص کندکه آیا بین شرکتهای فعال در بازارهای صنعتی و شرکتهای فعال در بازارهای مصرفکننده نهایی بازارهای نوظهور و بین شرکتهای بازاریابی صنعتی فعال در بازارهای نوظهور (مجارستان) و بازارهای توسعه یافته (فنلاند) تفاوتی وجود دارد. نتایج حاصل از تجزیه و تحلیل مقایسهای نشان میدهد در حالی که شرکتهای بازارهای صنعتی و شرکتهای بازارهای مصرفکننده تفاوت معناداری با یکدیگر ندارند، ولی بین بازارهای نوظهور و توسعه یافته تفاوتهای قابل توجهی دیده میشود. مطالعه حاضر نشان میدهد اگرچه جهتگیری برند سهمی در رشد کسب و کار شرکتهای بازارهای صنعتی در مجارستان ندارد ولی دارای تاثیر مثبت بر رشد همین شرکتها در فنلاند میباشد.

تجارت خدمات مرتبط با گردشگری و مسافرت و الحاق ایران به WTO
مقاله حاضر با توجه به این موضوع که ایران در فرآیند الحاق به سازمان جهانی تجارت (WTO) قرار دارد، به بررسی تجربه کشورهای ملحق شده به این سازمان در زمینه تعهدات بخش خدمات مرتبط با گردشگری و مسافرت میپردازد. به این منظور این مقاله علاوه بر بررسی وضعیت جدول تعهدات خاص بخش خدمات مرتبط با گردشگری و مسافرت در کشورهای مذکور، درجه تعهدات آزادسازی تجاری آنها در بخش نامبرده را مورد شناسایی قرار میدهد. همچنین با توجه به تجارب کشورهای مذکور، سناریوهای متفاوتی که در قبول تعهدات آزادسازی تجاری، فراروی بخش خدمات مرتبط با گردشگری و مسافرت در ایران قرار خواهد داشت را مورد تحلیل قرار میدهد و بر اساس سناریوهای موجود پیشنویس جدول تعهدات پیشنهادی ایران در بخش مذکور ارائه میشود.
